Board Development

David M. Schwartz, Principal of Jacquard Associates, Inc. has served on many Boards.  Typically, they consist of a number of friends or advisors and are referred to as "Kitchen Table Boards" because of their informality. 

Too often, these meetings break down to the lowest common denominator and the discussion is far from strategic. In reflection, many are frustrated and the Chief Executive wonders how to control their Board and the meeting

Our model comes with a note of gratitude to The Make-A-Wish Foundation, where David served as a board member for 10 years.  Make-a-Wish graduated from a Kitchen Table Board during David's four years as Vice President and Chairman of the Board, by adopting the renowned Policy Governance Model created by John Carver.

The model basically reads "As a generic system, it is applicable to the governing body of any enterprise. The model enables the board to focus on the larger issues, to delegate with clarity, to control management's job without meddling, to rigorously evaluate the accomplishment of the organization; to truly lead its organization."

Jacquard does not attempt implement the entire process, nor is it necessary for most middle market companies, but the spirit is essential.  Further, we coach the Chairman on how to lead their Board to prevent it from getting stuck at the Kitchen Table.
